Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the OPEX FP&A service, operated by Opex Technologies Pte. Ltd. ("we", "us"), Singapore. By creating an account or subscribing, you accept these Terms on behalf of your organisation and confirm you are authorised to do so.

2. The service

OPEX FP&A synchronises data from your licensed Epicor Kinetic environment and renders financial reports from it. The service depends on your Epicor instance being available and correctly licensed; we are not responsible for Epicor downtime, licensing limits, or data quality issues in your ERP.

3. Your data

You retain all rights to the financial data you synchronise. You grant us the limited right to process and store it solely to operate the service for you. You are responsible for the accuracy of the connection configuration and for maintaining the confidentiality of your sign-in credentials.

4. Subscriptions and payment

Subscriptions are billed monthly in advance through Stripe. Fees exclude applicable taxes. Subscriptions renew automatically until cancelled; cancellation takes effect at the end of the current billing period. Refunds for partial months are not provided except where required by law.

5. Acceptable use

You must not: resell or provide the service to third parties as a bureau; attempt to access other tenants' data; probe or disrupt the service's security; or use it in violation of applicable financial-reporting or data-protection law. We may suspend use that threatens other customers or our infrastructure.

6. Availability and support

We target high availability on Cloudflare's network but the service is provided without an SLA unless separately agreed in writing. Support is provided by email during Singapore business hours.

7. Disclaimer and liability

The service is provided "as is". We do not warrant that reports are suitable for statutory filing without your own review. To the maximum extent permitted by law, our aggregate liability is limited to the fees you paid in the 3 months preceding the claim, and we are not liable for lost profits or indirect damages.

8. Termination and governing law

Either party may terminate for material breach not cured within 14 days of notice. These Terms are governed by the laws of Singapore, with exclusive jurisdiction of the Singapore courts.
